Roomframe Terms of Service
We’ll update this after legal review, and email account holders before any change takes effect.
1. Who we are and what this covers
1.1 Roomframe is provided by Nightframe Pty Ltd, ABN 87 703 357 608 ("Nightframe", "we", "us"). Website: roomframehq.com. Support: [email protected].
1.2 These Terms cover:
- the Roomframe web app at roomframehq.com (studio, share links, website);
- the Roomframe Capture iPhone app;
- the Roomframe Render Node desktop app;
- any related service (together, the "Service").
1.3 "You" means the business or person who opens a Roomframe account. If you sign up for an organisation, you confirm you can bind it. Your team members must follow these Terms too.
2. Accounts and teams
2.1 Give accurate details and keep your login secure. You're responsible for what happens under your account and your team.
2.2 Team owners and admins control who is in the team. They can remove members and transfer ownership of projects inside the team.
2.3 You must be 18 or over and using Roomframe for business or professional purposes.
3. Early access
3.1 Roomframe is currently in early access, with accounts by invitation. Features may change, may have bugs, and may lose data or stop. Keep your own copies of anything important.
3.2 Invited teams get free early access: the Studio plan with every add-on, free until we end early access. We'll email the team owner the end date at least 14 days ahead. You can subscribe at any time before then at Founding pricing (clause 5.3), with no trial needed. If you don't subscribe by the end date, your team becomes read-only (clause 9.3): your projects are kept and viewable but not editable until you subscribe. We never charge you unless you choose a paid plan.
3.3 We may also invite a team as a paying customer from the start, with the normal free trial (clause 4.2). Clauses 4 and 5 apply to every team from its first payment.
3.4 Feedback from early access may be used to improve Roomframe, without payment to you. We won't name you or show your projects without your written OK.
4. Plans, trials and credits
4.1 Plans (Solo, Team, Studio), add-ons (for example Roomframe Show), included credits and limits are as shown on the pricing page at the time you subscribe.
4.2 Free trial: new paying teams get 14 days, card required. Cancel before the trial ends and you won't be charged. Early-access teams don't need a trial (clause 3.2).
4.3 Credits pay for cloud renders, bakes and similar work.
- Included monthly credits don't roll over.
- Purchased credit packs expire 12 months after purchase.
- Credits have no cash value and aren't refundable, except where the law requires it.
4.4 Fair use: limits on storage, file size, live relay hours and similar are on the pricing page. We may contact you before limiting anything clearly beyond normal use.
5. Payment
5.1 Prices are in AUD and include GST. We issue tax invoices. Billing is monthly or yearly in advance, through Stripe.
5.2 Subscriptions renew automatically until cancelled. You can cancel any time; access continues to the end of the paid period. Refunds are given only where the law requires them, or at our discretion.
5.3 Founding pricing: 30 % off for (a) every free early-access team that subscribes, and (b) the first 50 other teams that start a paid plan ("Founding 50"). Early-access teams don't count towards the 50.
- It covers the plan, extra users and the Show add-on.
- It lasts while your subscription stays continuously active, including when you change plans.
- It ends if the subscription is cancelled, or lapses past the grace period.
- It can't be transferred or combined with other offers.
- The offer closes when 50 teams have joined, or 30 days after public launch, whichever comes first.
5.4 Price changes: we'll give at least 30 days' notice by email. If you don't agree, you can cancel before the change applies. Founding 50 teams keep their 30 % off the new price.
5.5 If a payment fails, we'll retry and email you. After 7 days' grace the account becomes read-only (clause 9.3).
6. Your content and our IP
6.1 Your content stays yours. That covers your scans, photos, floor plans, uploaded models, logos, brand files, project data and media. You give us a licence to host, process, copy and display it only to run the Service for you: storing it, rendering, making exports and serving your share links. The licence ends when you delete the content, except for backups, which are cleared within the backup cycle.
6.2 Our IP stays ours. This covers:
- the software, apps and scripts (except the GPL Blender scripts, which are under the GPL);
- the 3D furniture, AV, lighting and dressing library;
- materials and textures;
- lighting presets and render and bake settings;
- 3D people and motion data;
- demo venues and templates;
- the Roomframe name and logos.
We give you a non-exclusive, non-transferable licence to use them inside the Service during your subscription.
6.3 Outputs. Renders, flyover videos, PDFs, CAD exports, grandMA3 and audio exports, and other files you export are yours to use for your events and business, including after your subscription ends. That licence is perpetual for outputs exported while you were subscribed. However, you may not extract our library models, materials, textures, people or settings from outputs (or from the Service) to use them separately or to build a library.
6.4 You confirm you have the rights to everything you upload, including permission to capture and model any venue where that's needed, and that it doesn't infringe anyone's rights.
7. Acceptable use
7.1 Don't use the Service unlawfully, to infringe rights, or to upload malware or illegal content.
7.2 Don't, and don't help anyone else:
- reverse engineer, decompile, disassemble or try to get the source code of the Service, except to the extent the law allows despite this clause;
- scrape, crawl or use automated means to access the Service, or bulk-download models, materials, renders or data, other than through features or APIs we provide for that;
- use the Service, or anything taken from it, to build, train or improve a competing product or service, including AI or machine-learning models;
- get around plan limits, credits, security, share-link controls or watermarks;
- resell, rent or sublicense the Service. Agencies can of course deliver outputs to their own clients.
7.3 Security research: tell us at [email protected] first, and give us reasonable time to fix issues before disclosure.
8. Share links
8.1 Share links let anyone with the link view a project, with no account needed. You choose what to share and can switch a link off any time.
8.2 People viewing a share link may only view it. They may not copy, download, extract or reuse the models or media, except through features the sender has turned on, such as the PDF or flyover. The share view shows a short notice saying so.
8.3 You're responsible for who you send links to, and for making sure they use them properly.
9. Suspension, cancellation and what happens to your data
9.1 We may suspend access, with notice where reasonable, if:
- you seriously breach these Terms;
- payment is overdue past the grace period;
- your use puts the Service or others at risk.
9.2 You can cancel any time from your account settings.
9.3 Read-only: after cancellation or lapse (past the 7-day grace), your projects stay read-only. Existing share links keep working. You can export, and you can come back and reactivate. We'll give at least 60 days' email notice before deleting data from a lapsed account.
9.4 You can download your data or delete your account at any time, in Account, team & billing → Your profile ("Download my data", "Delete my account"). Team data and team deletion are in Account, team & billing → Team ("Download team data" for owners and admins; "Delete this team" for the owner). You can also delete your account in the Roomframe Capture app, or email [email protected]. To delete, you confirm by signing in again (or entering your password) and typing your email or the team name. Deleting takes effect straight away: access stops, client links turn off, API keys are revoked and any subscription is cancelled (no further charges). Deleting your account also deletes any team where you're the only member. A team with other members needs another owner first. We keep everything for 7 days so it can be restored if you email [email protected]; after that it is permanently erased (and leaves backups as they cycle), except records the law requires us to keep, such as tax invoices.
10. Third-party services and AI
10.1 Some features rely on third parties:
- Stripe (payments);
- Cloudflare (network);
- AWS (cloud rendering);
- Apple (the app);
- Google, Microsoft or Apple (sign-in, if you choose it);
- the AI services you connect with your own API key, such as Google Gemini.
Their terms apply to your use of them.
10.2 AI features with your own key send the content you choose to that provider, under your account with them. We don't control their output and aren't responsible for it. Check AI output before you rely on or publish it.
11. Privacy and confidentiality
11.1 Our Privacy Policy explains how we handle personal information under the Australian Privacy Principles.
11.2 We treat your projects as confidential:
- we don't look at them except to support you (with your permission), to keep the Service secure, or where the law requires it;
- we never use your projects or venues in our marketing without your written OK.
12. Warranties and liability
12.1 Nothing in these Terms excludes or limits rights you have under the Australian Consumer Law that can't be excluded.
12.2 Roomframe is a planning and visualisation tool. Measurements, scans, lighting, audio and safety previews are estimates. Check all critical dimensions, rigging, loads, capacities, egress and safety on site and with qualified people. Roomframe doesn't replace engineering, venue or safety sign-off.
12.3 Where the law allows:
- we exclude all other warranties;
- our total liability in any 12 months is limited to the fees you paid us in that period;
- we're not liable for indirect or consequential loss, lost profit or lost data.
Where the ACL allows us to limit liability for a failed consumer guarantee, our liability is limited to supplying the service again or paying for it to be supplied again.
13. Indemnity
You indemnify Nightframe against third-party claims caused by your content or by your breach of clause 6.4 or 7, except to the extent we caused the loss.
14. Feedback and suggestions
We can use your feedback and suggestions freely, without any obligation to you.
15. Changes to these Terms
We may update these Terms. For material changes we'll give at least 30 days' email notice. If you don't agree, you can cancel before they apply and get a pro-rata refund of any prepaid yearly fees.
16. General
16.1 These Terms are governed by the laws of New South Wales, Australia, and its courts have jurisdiction.
16.2 If a clause is invalid, the rest still applies. If we don't enforce a clause, that isn't a waiver of it.
16.3 You can't transfer your account without our OK. We can transfer these Terms to a buyer of the business, with notice to you.
16.4 These Terms, the pricing page and the Privacy Policy (roomframehq.com/privacy) are the whole agreement for the Service.
